Scrum Trainer Memorandum of Understanding: Organization Focus

 

This agreement outlines the terms and conditions for the Scrum Trainer Program by Scrum Inc.

Overview of Scrum Inc.’s Scrum Trainer Program

Only persons who have completed the Scrum Trainer Program by Scrum Inc., or who have satisfied such other requirements as Scrum Inc. may specify from time to time, and are in good standing[1] (“Scrum Inc. Trainers”) can teach Scrum Inc. courses (“Scrum Inc. Courses”). Scrum Inc. Courses must meet the criteria outlined in this document to qualify students for credentialing in Team Level Scrum or Scrum@Scale. Scrum Inc. Trainers will be able to:

  • Teach Scrum Inc. Courses as specified in Addendum A below.
  • Access their students’ test performance data which includes passing rate.
  • Access the latest versions of the Scrum Inc. course materials.

Under this agreement, Scrum Inc. will inspect and adapt its Scrum Inc. Trainer Program. Scrum Inc. and the undersigned (the “Undersigned Scrum Inc. Trainer” or “you”) acknowledge this is an evolving program, and as such, agree that regular feedback from both parties will be the key to success.

  • The Undersigned Scrum Inc. Trainer will provide regular feedback to Scrum Inc. on the technology platforms, curriculum, market feedback, and general support provided to the Undersigned Scrum Inc. Trainer.
  • Scrum Inc. will provide regular feedback on exam results of the Undersigned Scrum Inc. Trainer’s students in comparison to other Scrum Inc. students and opportunities to collaborate with other Scrum Inc. Trainers on classroom materials and curriculum development.

 

Scrum Inc. Program’s Intent

Scrum Inc.’s intent with the Scrum Inc. Training Program is to:

  • prepare agile professionals to effect change within their organizations;
  • make Scrum Inc. credentials the credential of choice, and Scrum@Scale the scaling framework of choice, for agile organizations around the globe;
  • build an engaged community committed to the practice of Scrum and demonstration of the Scrum Values; and
  • leave a lasting, positive impact on the world.

 

Terms of the Scrum Inc. Program

As with all things in Scrum, the Scrum Inc. Training Program, including trainer requirements and fee structure, is apt to evolve over a series of iterations. If any party wishes to discontinue participation as the Scrum Inc. Training Program evolves, there are no penalties. Either party can end their participation in the Scrum Inc. Training Program at any time.

 

 

Scrum Inc. Trainer Credential Cost

The annual license and membership fee for instructors to maintain their Scrum Inc. Trainer credential is $5,000.00 USD. This fee is due upon initial acceptance into the program and annually upon renewal. For CS@STs (credentialed by Scrum@Scale LLC) in good standing who are joining the Scrum Inc. Trainer Program from the first time, your membership fee will be due upon renewal based on your previous CS@ST renewal cadence. For Scrum Inc. Trainers who have trained and credentialed a minimum of 200 Scrum Inc. students within the previous year, the annual renewal fee will be waived. Scrum Inc. Trainers who wish to maintain status as Scrum Inc. Trainers must complete the terms of renewal before the last day of the renewal period.

 

Scrum Inc. Course Requirements

Scrum Inc. Courses must meet the following requirements:

  • Led by a Scrum Inc. Trainer.
  • 14-hours of live interactive instruction time.
  • Course instruction teaches all the learning objectives for the course.

Scrum Inc. Trainers may use their own instructor materials, or Scrum Inc.’s, in the delivery of the Scrum Inc. Training Courses. All references must be cited, and citations provided to students. Regardless of which materials are used, Scrum Inc. branding will be included in a manner meant to clearly indicate the Scrum Inc. Courses are part of Scrum Inc.’s Training program.

 

Student Membership Fees for Scrum Inc. Courses

There is a per-student fee for each student that attends your Scrum Inc. Training Course. This fee must be paid by the Scrum Inc. Trainer within 30 days of the course completion date. Students will be able to renew their credential every year. Membership and renewal fees will be assessed based on the GDP per capita, PPP of the legal residence of the student, as per the table below:

The Scrum Credentialing exams are online multiple-choice exams administered by Scrum Inc.

Scrum Inc. will provide access to the learning management system which will enable students to take the exam and access a course completion credential on demand.

 

Marketing and Business Development:

There are no price controls on offering the Scrum Inc. Credentialing Courses.  The Undersigned Scrum Inc. Trainer is free to arrange pricing with clients with no restrictions. This is intended to help determine a competitive price point while also reflecting the value of the Scrum Inc. Training Program and Scrum Inc. brands.

Scrum Inc. grants the Undersigned Scrum Inc. Trainer a limited non-transferable use license for Scrum Inc.’s copyrighted Scrum Inc. training materials, logos and branding (“Scrum Inc.  Assets”) in the pursuit of teaching Scrum Inc. Courses.

Scrum Inc. Assets may only be used by current Scrum Inc. Trainers or approved Scrum Inc. Trainer candidates who have submitted an application of intent to the Scrum Inc. Trainer Program and who are co-training with current Scrum Inc. Trainers for the purpose of delivering a specific Scrum Inc. course. Scrum Inc. Assets may not be distributed beyond the Scrum Inc. Trainer community in any format other than .pdf. There are assets (such as presenter notes) which are not intended for public distribution. Scrum Inc. reserves the right to limit public distribution of any Scrum Inc. Assets at any time.

Scrum Inc. Trainers may not modify the Scrum Inc. logos, certificates, or badges. Scrum Inc. program logos and badges and any related marketing should never imply that you, Scrum Inc. or the Scrum Inc. Trainer’s Program endorses any scaling framework other than Scrum@Scale.

 

Local Tax Obligation

The Undersigned Scrum Inc. Trainer is responsible for any local tax obligations. Any taxes imposed by local jurisdictions other than those where Scrum Inc. maintains an office will be the responsibility of the Undersigned Scrum Inc. Trainer.

 

Trainer Code of Conduct

As ambassadors of the Scrum and Scrum@Scale frameworks and the Agile Movement itself, Scrum Inc. Trainers must endeavor to embody the Scrum Values in all of their interactions with other trainers, students, and the Agile Movement community at large. Scrum Inc. Trainers are expected to welcome students of all backgrounds and identities and may not refuse access to their courses or training by paying customers without reasonable cause. Scrum Inc. Trainers are expected to make a good faith effort to avoid creating environments in which individuals feel threatened or unsafe. In the event of your failure to uphold this Code of Conduct, Scrum Inc. reserves the right in its sole discretion to either (i) revoke your Scrum Inc. Trainer credential or (ii) decline to renew your Scrum Inc. Trainer credential after it expires.

 

Release

If you are a Certified Scrum@Scale Trainer (certified by Scrum@Scale, LLC), then as part of the consideration for the services provided hereunder, the Undersigned Scrum Inc. Trainer, on behalf of the Undersigned Scrum Inc. Trainer and its successors and assigns (the “Releasor”), hereby releases, waives and forever discharges Scrum@Scale, LLC and its present and former, direct and indirect, parents, subsidiaries, affiliates, employees, officers, directors, managers, shareholders, members, agents, representatives, permitted successors and permitted assigns (collectively, “Releasees”) of and from any and all actions, causes of action, suits, losses, liabilities, rights, debts, dues, sums of money, accounts, reckonings, obligations, costs, expenses, liens, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, extents, executions, claims, and demands, of every kind and nature whatsoever, whether now known or unknown, foreseen or unforeseen, matured or unmatured, suspected or unsuspected, in law, admiralty or equity (collectively, “Claims”), which any of such Releasors ever had, now have, or hereafter can, shall, or may have against any of such Releasees for, upon, or by reason of any matter, cause, or thing whatsoever from the beginning of time through the date of this agreement arising out of or relating to any agreements entered into with Scrum@Scale, LLC or services rendered by Scrum@Scale, LLC, as applicable.

 

Governing Law.  This agreement shall be governed by, and construed and enforced in accordance with, the laws of the Commonwealth of Massachusetts, without giving effect to its principles of conflicts of law.

 

Choice of Forum.  Any action, litigation or proceeding (“Proceedings”) seeking to enforce any provision of, or based on any matter arising out of or in connection with, this agreement or the transactions contemplated hereby shall be brought in the federal or state courts located in the Commonwealth of Massachusetts, as applicable, and each of the parties hereby consents to the exclusive jurisdiction of such courts (and of the appropriate appellate courts therefrom) in any such Proceeding and irrevocably waives, to the fullest extent permitted by law, any objection which it may now or hereafter have to the laying of the venue of any such Proceeding in any such court or that any such Proceeding which is brought in any such court has been brought in an inconvenient forum.

 

Addendum A – Scrum Trainer, Organization Focus
This agreement authorizes the Undersigned Scrum Trainer to provide Scrum@Scale Courses. Students who attend the Undersigned Scrum Trainer’s Scrum@Scale Courses will be eligible to sit for Scrum Inc.’s Scrum@Scale credentialing exam and earn a Scrum@Scale Credential.

 

[1] To be in good standing means being current on all fees owed to Scrum Inc, and in the case of CS@STs (credentialed by Scrum@Scale, LLC) who are becoming Scrum Inc. Trainers, all fees owed to Scrum@Scale, LLC have been paid to Scrum@Scale, LLC.
